Terms

These terms govern your use of ukti.io. Ukti offers one thing here: a set of editorial pages and a link to the Ukti app. Ukti makes no promise about the app's continued availability, its pricing, or its feature set via this site — the app's own terms, presented on first open, are the governing document for app use. ukti.io is a window, not a contract.

These terms (the "Terms") govern access to and use of the websites, mobile applications, application programming interfaces, and related services offered under the Ukti brand (collectively, the "Services"). The Services include artificial-intelligence features that process information you provide or connect in order to generate styling outputs.

The Services are operated by Slickalgo Analytics LLP, an Indian limited liability partnership that owns and operates the Ukti brand ("Ukti" or the "Company"). You may request Ukti's registered office address by email to press@ukti.io.

These Terms are a binding contract. If you do not agree, do not access or use the Services. If you use the Services on behalf of an organization, you represent that you have authority to bind that organization, and "you" includes that organization.

Important: The Services are not a substitute for professional advice. Automated outputs may be inaccurate, incomplete, or unsuitable for your situation. You are solely responsible for how you use the Services and any decisions you make.


1. Acceptance of Terms

By creating an account, downloading or launching the Ukti mobile application, clicking "I agree," or otherwise accessing or using the Services, you agree to these Terms and to the Ukti Privacy Policy (available at the URL Ukti publishes for the Services), which describes how personal data is collected and used.

You must be at least 18 years old to use the Services. If you are not, you must not use the Services.

Ukti may offer additional terms for specific features, betas, or enterprise offerings. If those terms conflict with these Terms on a specific feature, the additional terms control for that feature only.

If you access the Services through Apple App Store or Google Play, you acknowledge that those platforms are not parties to these Terms and may impose separate terms on your use of their platforms and payment mechanisms.

2. Description of Services

Ukti provides an editorial styling service that may include a daily outfit call, wardrobe tools, and archive views derived from data you upload or connect through integrations you authorize.

The Services are provided on a software-as-a-service basis. Ukti may update, modify, suspend, or discontinue features, models, third-party integrations, or the Services as a whole, with or without notice, subject to applicable law and any express commitments in a separate written agreement.

No accuracy guarantee. Automated systems are probabilistic. Outputs may be incorrect, incomplete, outdated, biased, or not appropriate for your intended use. Ukti does not warrant that Outputs will meet your requirements or achieve any particular result.

3. User Accounts

You may need an account to use certain features. You agree to provide accurate, current, and complete registration information and to keep it updated.

You are responsible for maintaining the confidentiality of your credentials and for all activities under your account. You must notify Ukti promptly at privacy@ukti.io (subject: "Security") if you suspect unauthorized access or a security incident.

Ukti may require verification, impose security controls, or refuse registration where permitted by law or where Ukti reasonably believes doing so protects the Services or other users.

4. Acceptable Use Policy

You agree not to, and not to permit others to, do any of the following:

Ukti may investigate violations and cooperate with law enforcement. Ukti may remove content, suspend or terminate accounts, and take technical and legal measures deemed appropriate.

5. User Data Responsibility

As between you and Ukti, you retain ownership of your data, including images, text, wardrobe information, and other materials you submit or connect ("User Data"), subject to the licenses you grant below.

You are solely responsible for the legality, quality, and accuracy of User Data and for your decisions to upload, connect, share, or process it through the Services. You represent and warrant that you have all rights, consents, and lawful bases necessary to provide User Data and to permit the processing described in the Privacy Policy and these Terms.

You are responsible for your account settings, sharing permissions, and any export or integration configurations. Ukti is not obligated to monitor User Data for legality, but may do so to enforce these Terms, comply with law, or protect users.

6. Output Disclaimer

Outputs are generated automatically and may be wrong, incomplete, or contextually inappropriate. Outputs do not constitute legal, medical, financial, tax, safety, or other professional advice.

This is styling, not medicine.

You must independently verify outputs before relying on them, including for purchasing decisions, health or skin-related choices, public communications, or business decisions. You assume all risk arising from use of or reliance on outputs.

The Services may use third-party models and infrastructure. Their operation is outside your and Ukti's full control, and failures, changes, or outages may affect outputs.

7. Intellectual Property

The Services, including software, branding, designs, documentation, and Ukti's proprietary materials ("Company Materials"), are owned by Ukti or its licensors and are protected by intellectual property laws. Except for the limited rights expressly granted in these Terms, no rights are granted to you.

Subject to your compliance with these Terms, Ukti grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Services for your internal or personal, non-commercial purposes in accordance with these Terms and any plan limits.

To operate, improve, secure, and provide the Services, you grant Ukti a worldwide, royalty-free license to host, reproduce, process, transmit, display, and create derivative works from User Data solely as reasonably necessary to provide the Services to you, to prevent abuse, to comply with law, and to develop and improve products in aggregated or de-identified form where permitted by the Privacy Policy.

If you provide feedback or suggestions, you grant Ukti a perpetual, irrevocable, worldwide, royalty-free license to use them without obligation to you.

Unless expressly agreed otherwise in writing, Ukti does not claim ownership of your User Data. Ukti does not grant you any license to its trademarks except the limited right to refer to the Services truthfully.

8. Payments and Subscriptions

Certain features may require payment. Fees, billing cycles, taxes, and currency are as presented at checkout or in an order form. You authorize Ukti and its payment processors to charge your selected payment method.

App store purchases. If you purchase through Apple App Store or Google Play, those purchases are governed by the applicable platform's terms. Billing, refunds, and cancellations may be handled by the platform. To the extent there is a conflict between these Terms and the platform rules on payments, the platform rules govern payment matters only.

EU and UK consumers. You have a 14-day right of withdrawal for digital services under Directive 2011/83/EU (in the UK, the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013), subject to the usual exception where digital content has been provided with your express consent and you have acknowledged loss of the right of withdrawal.

Subscriptions renew automatically unless cancelled as described in the product interface or platform settings. If a payment fails, Ukti may suspend access until payment succeeds.

Except where required by law or expressly stated at purchase, fees are non-refundable. Ukti may change prices with at least 30 days' advance notice; changes apply to subsequent billing periods.

California residents. Where required by the Automatic Renewal Law (Cal. Bus. & Prof. Code §17602), auto-renewal disclosures are provided at checkout.

9. Termination

You may stop using the Services at any time. To delete your account, use the Delete Account option in your profile settings within the Ukti app. If you cannot access your account, contact privacy@ukti.io with "Account Deletion" in the subject line.

Ukti may suspend or terminate your access to the Services, with or without notice, if it reasonably believes you violated these Terms, pose a security or legal risk, or must comply with law or third-party requests. Ukti may also discontinue the Services in whole or in part.

Upon termination, your right to use the Services ceases. Provisions that by their nature should survive (including intellectual property, disclaimers, limitations of liability, indemnity, governing law, and dispute resolution) will survive.

Ukti may delete User Data after termination subject to the Privacy Policy, legal retention obligations, and technical backup practices. You should export any data you need before termination where the Services offer export functionality.

10. Limitation of Liability

To the fullest extent permitted by applicable law, in no event will Ukti or its affiliates, directors, employees, or suppliers be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenues, goodwill, data, or business opportunities, arising out of or related to the Services or these Terms, even if advised of the possibility of such damages.

To the fullest extent permitted by applicable law, Ukti's aggregate liability for all claims arising out of or related to the Services or these Terms will not exceed the greater of (a) the amounts you paid to Ukti for the Services in the twelve (12) months before the event giving rise to liability, or (b) Indian Rupees Five Thousand (₹5,000), if you have not paid fees.

The limitations in this section apply to claims based on warranty, contract, tort (including negligence), strict liability, or any other legal theory, and apply whether damages arise from use of the Services, outputs, inaccuracies, reliance on analytics or styling calls, data loss, unauthorized access, or otherwise.

Some jurisdictions do not allow certain limitations. In such cases, Ukti's liability is limited to the maximum extent permitted by law. Nothing in these Terms limits liability that cannot legally be limited, including liability for death or personal injury caused by gross negligence or willful misconduct where applicable law so requires.

11. Disclaimer of Warranties

The Services are provided on an "as is" and "as available" basis. To the fullest extent permitted by applicable law, Ukti disclaims all warranties, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

Ukti does not warrant that the Services will be uninterrupted, error-free, secure, or free of harmful components, or that outputs will be accurate, reliable, or suitable for any purpose.

You understand that automated systems can produce incorrect or offensive content and that you use the Services at your own risk.

12. Indemnification

You will defend, indemnify, and hold harmless Ukti and its affiliates, and their respective directors, officers, employees, and agents, from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your User Data; (b) your use of the Services or outputs; (c) your violation of these Terms or applicable law; or (d) your violation of third-party rights, including intellectual property and privacy rights.

Ukti may assume exclusive defense and control of any matter subject to indemnification, at your expense, and you will cooperate with reasonable requests.

13. Governing Law

These Terms and any dispute arising out of or related to the Services or these Terms are governed by the laws of India, without regard to conflict-of-law principles that would require application of another jurisdiction's laws, except where mandatory consumer protection rules of your country of residence apply and cannot be waived by contract.

14. Dispute Resolution

Subject to applicable mandatory law, you and Ukti agree that the courts located in Bengaluru, Karnataka, India will have exclusive jurisdiction over any dispute arising out of or relating to the Services or these Terms, and you consent to personal jurisdiction there.

Before filing a claim, you agree to contact Ukti at help@ukti.io and attempt to resolve the dispute informally for at least thirty (30) days.

If you are a consumer in India with rights under the Consumer Protection Act, 2019, nothing in this section limits remedies available to you under that Act where such limitations are not permitted.

15. Changes to Terms

Ukti may modify these Terms by posting an updated version in the Services or on the website and updating the "Effective date" above. If a change is material, Ukti will provide reasonable notice by email, in-product notice, or another reasonable method where required by law.

Your continued use of the Services after the effective date of updated Terms constitutes your acceptance of the changes. If you do not agree, you must stop using the Services and, where applicable, cancel subscriptions according to platform rules.


Additional provisions

Export and sanctions

You may not use the Services if you are located in, ordinarily resident in, or organized under the laws of any jurisdiction subject to comprehensive sanctions or export restrictions applicable to Ukti, or if you are listed on any restricted party list, except as authorized by law.

Assignment

You may not assign or transfer these Terms without Ukti's consent. Ukti may assign these Terms in connection with a merger, acquisition, corporate reorganization, or sale of assets, with notice where required by law.

Entire agreement; severability; waiver

These Terms, together with the Privacy Policy and any additional terms presented for specific features, constitute the entire agreement between you and Ukti regarding the Services. If any provision is held unenforceable, the remaining provisions remain in effect. A failure to enforce a provision is not a waiver.

Force majeure

Ukti is not liable for delays or failures due to events beyond its reasonable control, including natural disasters, war, terrorism, labor disputes, internet or telecommunications failures, or third-party service outages.

Ukti may send notices to the email associated with your account or through the Services. You may send legal notices to press@ukti.io with "Legal Notice" in the subject line. General help and account questions: help@ukti.io. Where law requires a physical address or named grievance contact, those details will be provided upon request to privacy@ukti.io.
